CLIQ Digital AG: Dylan Media Votes Against Share Buyback, Delisting on Hold

CLIQ Digital AG's largest shareholder, Dylan Media, will vote against the proposed share buyback and the company currently no longer considers delisting from the stock exchange. This decision follows CLIQ Digital's announcement of obstacles in processing payments and acquiring new customers due to significant developments in the digital payments ecosystem. The Management Board has decided to currently not consider delisting in light of the current business environment.
CLIQ Digital AG has withdrawn its financial outlook for the year 2025 due to significant challenges in processing payments and acquiring new customers. The company's largest shareholder, Dylan Media, has announced that it will vote against the proposed share buyback, and CLIQ Digital has decided to temporarily halt consideration of delisting from the stock exchange.The withdrawal of the financial outlook comes amid significant developments in the digital payments ecosystem, which have led to restrictions on payment processing for existing customers and difficulties in acquiring new ones. These challenges are attributed to new regulatory standards implemented by card schemes and acquiring banks. CLIQ Digital has been unable to quantify the full financial impact of these developments but expects a material adverse effect on revenue and EBITDA for the remainder of the year.
Dylan Media, in a statement, expressed its view that preserving liquidity is the most prudent short-term strategy and therefore does not support a public partial repurchase offer at this time. As a result, the Management Board of CLIQ Digital has decided to currently not consider delisting from the stock exchange in light of the current business environment.
The company's stock is currently listed on several European exchanges, including Frankfurt, Xetra, Stuttgart, Berlin, Munich, and Düsseldorf. CLIQ Digital's shares are also part of the DAX Index under the All Retail subsector.
