Combined with prior investments, the total consideration for precious metals exceeds 25% but remains below 100% of the relevant percentage thresholds under the Listing Rules.

The disposal and investment were approved by controlling shareholders holding approximately 72.89% of issued shares, eliminating the need for a shareholder meeting. The company emphasized that the funds used for these transactions were sourced from internal reserves, including proceeds from previous silver disposals, and do not impact operational liquidity or capital expenditure plans.

Strategically, the company cited economic slowdown in the People's Republic of China, inflationary pressures, and geopolitical tensions as key drivers for reallocating assets to precious metals. Clifford Modern Living prefers allocated bullion—physical bullion held separately from the bank's assets—over unallocated bullion to mitigate counterparty risk.

The investments were executed through a licensed international bank, with pricing aligned to recent market rates. A detailed shareholder circular will be distributed by March 9, 2026, to provide further transparency.
