Cielo's Strategic Shift: Asset Sale and Loan Assignment

The transaction, which closed on November 29, 2024, involves the sale of the Aldersyde Property, equipment, and intellectual property for $3.9 million, with a $15,000 reduction for outstanding fees. The Purchaser assumes the $2.6 million mortgage loan, eliminating Cielo's obligation, and issues a $1 million loan secured against the Aldersyde Property.
