Check Point Software Upsizes Private Offering to $1.75 Billion, Prices 0.00% Convertible Senior Notes Due 2030
Check Point Software Technologies has announced the pricing of a $1.75 billion private offering of 0.00% Convertible Senior Notes due 2030. The offering was upsized from the previously announced $1.5 billion, with an option to purchase an additional $250 million. The Notes are senior unsecured obligations of the company and do not bear regular interest or accrete in principal amount. Check Point may redeem the Notes at any time before the maturity date under certain conditions. Holders may also require the company to repurchase the Notes for cash on the maturity date if the last reported sale price of the company's ordinary shares is less than 110% of the conversion price.
