A Cessna Flew Itself for the Texas DOT. Merlin's Real Test Is Turning Contracts Into Revenue


At Alliance Airport in Texas this week, a Cessna Caravan took off, flew, and landed with the piloting done by software. It was Merlin's (NASDAQ: MRLN) MerlinMRLN-- Pilot stack, on display at the kickoff of the Texas Department of Transportation's Project NEXUS, an electric-aircraft integration program. The room included Transportation Secretary Sean Duffy and Senate Commerce Committee Chairman Ted Cruz, with Joby Aviation and BETA Technologies — the companies actually building new electric air taxis — exhibiting alongside. The market's response was a shrug: the stock sits near $3, down about 72% from the start of the year.
That shrug is the story worth thinking about, because the demonstration was not a meme stunt. It was an autonomy system — takeoff, landing, in-flight re-planning, even negotiating with air traffic control over the radio — flying a real plane in front of federal regulators and a cabinet official. The question is whether any of it translates into the one thing the stock is actually priced on: revenue.

The business is retrofit, not airframes
Here is the part that separates Merlin from every other company at that Texas event. Joby and BETA make aircraft. Merlin sells retrofit software for planes already in service, so they can fly with fewer pilots or none. It is not an airframe maker; it is an operating system that gets attached to somebody else's airplane.
Merlin's real commercial engine is the U.S. government. It holds a prime Indefinite Delivery/Indefinite Quantity contract with U.S. Special Operations Command, worth up to $105 million, to bring autonomy to the C-130J Super Hercules, and its C-130J program passed critical design review in June and moved into aircraft integration. On top of that sit autonomous-aviation analyses that put Merlin's contracted fleet — the C-130J and the Air Force's KC-135 tanker — at roughly 800 aircraft, against a far larger addressable fleet.
The economics are the part worth understanding. Autonomy is sold as an upfront integration fee on each aircraft plus an annual recurring software license, structured as cost-plus early on and meant to convert into fixed-fee licenses as fleets reach steady state. The mental model is a toll: Merlin is paid to put its system on a plane, then collects an annual fee to keep flying it. Defense customers accept the cost because removing a second pilot is worth far more than the license, and commercial cargo operators face the same math as crew costs climb.
What the price already reflects
Now the numbers. The stock is around $3, down roughly 72% year to date and from a 52-week high near $17. Market capitalization is about $305 million. But roughly $184 million of that is cash on the balance sheet, with no debt. Strip the cash out, and the market is valuing the operating business at something like $121 million — a posture that screams "fallen SPAC," not "growth company."
A beginner glancing at the financials could panic. Merlin reported a $127.5 million net loss in its second quarter. Most of that is non-cash accounting noise from the de-SPAC machinery — marking warrants and stock-based compensation to market — not money leaving the building. The real burn is smaller. Merlin's adjusted EBITDA loss was about $23 million in the first quarter, which against roughly $184 million of cash works out to something on the order of two years of runway before the company either shows this works or has to raise again.
Meanwhile, actual revenue was $2.2 million in the latest quarter, up from about $1 million the quarter before. That is a ramp toward a business, not a business.
The cheapness is real, but the proof is not
Here is the divergence the market and the stock price have set up. The market has treated Merlin like every other fallen SPAC: a pre-revenue story built on the assumption that autonomous flight is as hard as autonomous driving, and therefore worth almost nothing. Three months after its March listing, that skepticism took the stock to a point where its enterprise value — the business after cash — screens strikingly cheap next to a $105 million government anchor and 800 aircraft of contracted work.
But cheapness alone is not a thesis, and the Texas flight does not change that. The demo is genuinely valuable evidence that the government channel and the technology are advancing — the kind of observable, verifiable operating proof that beats analyst opinions and momentum chatter. What it is not is proof of the forward math. The C-130J program is in integration and flight-test territory, not yet generating fleet-scale license revenue, and $2.2 million of quarterly revenue cannot carry the valuation on its own.
The whole case collapses down to one conversion: the $105 million contract and the contracted fleet becoming real, recurring software revenue before the roughly $184 million of cash burns down. That is the only number that matters going forward, not the stock price and not the applause at Alliance Airport. The demonstration was the trailer; the movie — license-annuity economics at scale — has not been filmed.
So read the Texas flight for exactly what it is: confirmation that Merlin's technology and its government relationships are real. If the C-130J program moves from integration into paying fleet deployments and license dollars start showing up in the quarterly numbers, the market's SPAC-stigma discount becomes a setup worth a second look. Until then, a roughly $121 million enterprise value against a $105 million government anchor and 800 contracted aircraft is a promising-but-unproven watchlist math — not yet an edge.
