Cayson Acquisition enters merger agreement with Mango Financial
New York, NY, July 14, 2025 — Cayson Acquisition Corp. (NASDAQ: CAPN), a special purpose acquisition company, has entered into a definitive Agreement and Plan of Merger with Mango Financial Limited (Mango), a full licensed boutique investment bank in Hong Kong. Upon closing, Cayson will become a wholly owned subsidiary of Mango Financial Group Limited (Mango Group), and the combined entity's securities will be listed on Nasdaq.
Mango, established in 1970, is a well-established financial institution with a strong track record and comprehensive licenses from the Hong Kong Securities and Futures Commission (SFC). Over the past five decades, Mango has evolved from a traditional trading house to a full-service financial institution offering investment banking, financial advisory, asset management, and securities underwriting and trading. With a client-centric advisory model and a clean compliance record, Mango is poised to expand its footprint globally.
The merger agreement, subject to shareholder and regulatory approvals, will see Cayson's shareholders convert into Mango Group shares. Post-merger, Cayson's shareholders are expected to own 6,600,000 Mango Group shares, while Mango Group's existing shareholders will own 30,000,000 shares. Additionally, Mango Group's shareholders may receive up to 4,000,000 additional shares upon achieving certain net income targets for fiscal years 2025 and 2026.
The transaction is expected to be completed in the second half of 2025 and is subject to approval by the shareholders of Cayson, the Securities and Futures Commission of Hong Kong, and other customary closing conditions. Cayson and Mango Group have agreed to pursue a private placement of equity securities of up to $5 million to support ongoing operations and business expansion efforts.
