Capgemini has completed the acquisition of WNS, a digital-led business transformation and services company, creating a global leader in Intelligent Operations. Under the terms of the Transaction Agreement, Capgemini will integrate WNS's industry expertise and platforms with its global reach, strategy, and transformation capabilities, technology, and AI leadership. The combined entity aims to help clients reinvent their business processes end-to-end and lead in the market, the announcement added.

Keshav R. Murugesh, CEO of WNS, expressed enthusiasm about the merger, stating, "Our teams are looking forward to beginning this next chapter, joining forces with Capgemini to create a global powerhouse and build something truly transformative in the era of generative and agentic AI," the statement said.

The acquisition is expected to bring significant benefits, including enhanced operational efficiency, agility, and superior business outcomes through hyper-automation. The merger also aligns with the companies' shared values and culture, promising a seamless integration, the announcement said.

The settlement of the consideration will be effected as per the scheme circular published by WNS on July 30, 2025. Beneficial holders will receive payment through their brokers, while registered shareholders will receive payment from the paying agent after submitting a duly completed and validly executed letter of transmittal, the announcement added.

WNS, with its global presence in over 65 delivery centers across multiple countries, will cease trading on the New York Stock Exchange on October 17, 2025, following the completion of the transaction, the companies confirmed.
