Brazil's Cogna: subsidiary Somos agrees to buy 47% of Educbank for 46.3 million reais - filing
Vasta Platform Limited, a leading education technology company in Brazil, has announced that its subsidiary, Somos Sistemas de Ensino S.A., has entered into an agreement to acquire a 47% stake in Educbank for 46.3 million reais. The transaction, disclosed in a recent filing, marks another strategic move by Vasta to expand its presence in the Brazilian education sector.
This investment follows a series of strategic acquisitions and partnerships by Vasta and its subsidiaries in recent years. For instance, in October 2021, Somos completed the acquisition of Editora Eleva, a key player in the K-12 education platform, for a total consideration of R$ 580 million, with an additional R$ 32 million in net cash adjustments. The payment for that acquisition was structured in installments over five years, with the first installment of R$ 160 million paid at the time of closing.
Vasta has also previously expanded its footprint through significant transactions, such as the 2018 acquisition of Somos Educação by Kroton Educacional, which was valued at R$ 6.3 billion. That deal allowed Kroton to strengthen its position in the primary and secondary education markets and diversify its revenue streams.
The latest Educbank acquisition is expected to further enhance Vasta’s capabilities in the education technology space, potentially integrating financial services or digital tools into its broader educational offerings. While specific details about the structure of the Educbank deal remain limited, the transaction underscores Vasta’s ongoing commitment to innovation and growth in Brazil’s evolving education landscape.
