Eastern Bankshares, Inc. and HarborOne Bancorp, Inc. have received shareholder approval for their merger, as announced on August 20, 2025. The merger will result in Eastern becoming the surviving entity, with HarborOne Bancorp merging into it. Eastern expects the merger to close during the fourth quarter of 2025, subject to regulatory approvals.

The merger agreement provides for the conversion of HarborOne's information systems to Eastern's platform, with a systems conversion expected on February 21, 2025. Shareholders of HarborOne will have the right to convert their shares into Eastern common stock or cash, with the option to combine both.

Eastern anticipates that all required regulatory approvals will be received by October 31, 2025, with the merger expected to close as of November 1, 2025. The merger is expected to bring benefits such as revenue and expense synergies, but actual results may differ from expectations.
