The tokens are linked to the Trump family, with Eric Trump joining ALT5’s board and WLFI co-founder Zach Witkoff set to become chairman upon closing the deal on August 12 [1]. The company plans to issue 200 million shares, with half offered to institutional and crypto-focused investors in a registered direct offering and the other half sold in a private placement, with WLFI tokens as payment [2].

ALT5 aims to use the funds to acquire roughly 7.5% of the total WLFI token supply, building a corporate treasury and reducing debt while addressing pending legal matters and supporting broader operations [3]. This shift marks a significant pivot from its former biotech operations to financial infrastructure and crypto treasury management, with services including ALT5 Pay and ALT5 Prime [4]. The company has processed over $5 billion in cryptocurrency transactions since 2018 and is listed in the Russell indexes [5].

The fundraising is led by A.G.P./Alliance Global Partners and conducted under an SEC-approved shelf registration on August 8 [6]. The offering also includes leadership changes, with WLFI co-founder Zak Folkman serving as a board observer and Matt Morgan appointed as chief investment officer [7].

World Liberty Financial, not yet listed on major exchanges, has drawn political scrutiny, with critics arguing it blurs the line between presidential influence and private profit. Trump-related crypto projects have reportedly boosted his personal wealth by over $620 million in recent months [8].
