BD's Board of Directors has set the record date for the spin-off of its Biosciences & Diagnostic Solutions business as Feb. 5, 2026. The spun-off entity will merge with Waters Corporation on Feb. 9, 2026, subject to customary closing conditions. BD will receive $4 billion in cash, and shareholders will receive Waters common stock representing 39.2% of the combined company.
