Aliso Viejo, Calif., July 02, 2025 – indie Semiconductor (Nasdaq: INDI), a leading innovator in automotive solutions, has announced a definitive agreement to acquire emotion3D GmbH, a Vienna, Austria-based specialist developer of advanced perception algorithms and software for in-cabin sensing, advanced driver assistance systems (ADAS), and automated driving. The acquisition is expected to close in the fourth quarter of 2025 and will be immediately accretive.
Emotion3D has developed an AI-based perception solution for embedded automotive vision and radar sensing, with proven deployments for in-cabin sensing applications such as driver and occupant monitoring (DMS/OMS) and external sensing applications like nighttime forward vision and camera-radar sensor fusion. The company's machine learning-based approach is robust to varying customer use cases, achieved through a low compute multi-task neural network architecture and extensive use of synthetic data [1].
"Automakers are increasingly demanding co-optimized hardware-software solutions for ADAS applications," said Mark Tyndall, EVP of Corporate Development and IR at indie. The acquisition will position indie to capitalize on the growing ADAS market, which is expected to reach $83 billion by 2030, with a 2019-2023 CAGR of greater than 9% [1]. The market for ADAS and automated driving software will comprise over 50 percent of this total, marking a significant incremental revenue opportunity for automotive semiconductors.

indie will pay $20 million in cash at closing, in addition to an aggregate of up to $10 million in performance-based earnouts if certain revenue targets are exceeded over a post-closing period ending in February 2027. The closing is subject to customary closing conditions, including regulatory clearance [1].
