Aurania's Strategic Moves: Private Placement and Debt Settlement

Aurania Resources Ltd. (TSXV: ARU) has recently announced a non-brokered private placement of up to C$4.0 million and a debt settlement, marking significant strategic moves for the company. These transactions not only strengthen Aurania's financial position but also pave the way for further exploration and development activities. Aurania's private placement involves the issuance of up to 7,272,728 units at C$0.55 per unit, with each unit consisting of one common share and one warrant exercisable at C$0.90 for 24 months. The company has reserved the right to increase the size of the offering by up to 25%, potentially raising an additional C$1.0 million. The net proceeds from this offering will be allocated to exploration in France, including impact studies, exploration programs at key targets in Ecuador, and general working capital purposes.

In addition to the private placement, Aurania has agreed to a debt settlement with Dr. Keith Barron, the CEO and a director of the Company. The settlement involves converting C$1,652,168.75 of the loans owed to him by the Company, plus interest accrued thereof, for an aggregate amount of C$1,740,616.36 into Common Shares at a price of C$0.55 per Common share. This transaction will result in the issuance of up to 3,164,757 Common Shares and will help Aurania preserve cash and strengthen its balance sheet.



The completion of these transactions is subject to certain conditions, including the receipt of all necessary regulatory and other approvals, such as the approval of the TSXV. All securities issued pursuant to the Offering and the Debt Settlement will be subject to a four-month plus one-day hold period commencing on the day of the closing of the Offering and the Debt Settlement, as applicable, under applicable Canadian securities laws.
