Amber DWM Holding Limited and iClick Interactive Asia Group Limited have entered into a definitive merger agreement, signaling a transformative moment for the digital wealth management sector. This strategic union, valued at US$360 million and US$40 million respectively, combines Amber DWM's expertise in digital wealth management with iClick's robust data analytics and enterprise software capabilities, creating a powerful synergy.

The merger, expected to be completed by June 30, 2025, is subject to shareholder approval and regulatory/stock exchange approvals. Upon closing, iClick Interactive Asia Group Limited will change its name to Amber International Holding Limited and adopt a new share capital structure consisting solely of Class A and Class B ordinary shares.

This strategic alliance aims to unblock synergies between traditional finance and the rapidly evolving digital asset ecosystem, particularly benefitting corporate and high net worth individual clients. By integrating iClick's innovative marketing technology and robust data analytics with Amber DWM's advanced digital wealth management services, the merged entity will be well-positioned to offer an integrated and comprehensive suite of services.

The combined company will leverage its enhanced data analytics capabilities to improve investment decisions and portfolio management. By integrating iClick's advanced data analytic capabilities with Amber DWM's digital wealth management services, the new entity can create synergies that benefit both corporate and high net worth individual clients. Enhanced risk assessment, portfolio optimization, predictive modeling, and sentiment analysis are just a few ways the combined company can leverage these enhanced capabilities to drive growth and innovation.

Moreover, the merger presents an opportunity for both companies to expand their client bases and market penetration in the digital wealth management sector. By offering an integrated and comprehensive suite of services, the merged entity will be able to tap into new markets and attract a broader range of clients, driving growth and innovation in the digital asset ecosystem.

In conclusion, the merger between Amber DWM and iClick Interactive Asia Group Limited is a strategic move that unlocks synergies between digital wealth management and data analytics. By combining their unique strengths, the merged entity can create a more comprehensive and valuable wealth management offering that caters to the evolving needs of clients in the digital asset ecosystem.

$NIO's BaaS system stands out as a superior alternative to charging. It's clear that other brands haven't adopted BaaS because building the necessary infrastructure at this late stage would be both costly and challenging. This is why they're forced to join the swap alliance as the only viable option.
