Advent International, a leading private equity firm, has agreed to acquire Israeli insurance software provider Sapiens International Corporation N.V. for $2.5 billion. The all-cash transaction, representing a 64% premium over Sapiens' closing price last week, is expected to close in Q4 2025 or Q1 2026, subject to shareholder and regulatory approval [1].
Sapiens shareholders will receive $43.50 per share in cash, a significant premium over the company's undisturbed closing share price of $26.52 on August 8, 2025. Following the acquisition, Sapiens will become a privately held company, and its shares will no longer be publicly listed [2].

The deal comes months after Advent entered exclusive negotiations to acquire Paris-based Kereis, the largest broker for housing protection insurance in France, from Bridgepoint.
