NuRAN Wireless Inc. (OTC: NRRWF) has filed a registration statement with the U.S. Securities and Exchange Commission (SEC) for mixed shelf offering of $100 million, according to a recent SEC filing. The company aims to utilize the proceeds for general corporate purposes, including working capital, debt settlement, and expansion of its rural telecommunications infrastructure in underserved regions, particularly in Africa.

The filing, which includes Form 6-K and related exhibits, outlines NuRAN’s ongoing efforts to restructure its capital and settle outstanding obligations. In recent months, the company has executed multiple debt settlement agreements and raised capital through private placements and subscription agreements. For instance, NuRAN closed a $7.6 million financing round on August 14, 2026, and received Nasdaq approval for common shares to begin trading on August 17, 2026.

NuRAN has also been actively deploying mobile infrastructure, including the first 3G site in Cameroon and the restoration of network sites in Ghana and the Democratic Republic of the Congo. The company’s financial performance for the nine months ended September 30, 2025, showed a net loss of $8.4 million, driven by high operational and restructuring costs.

The proposed mixed shelf offering reflects NuRAN’s strategy to strengthen its balance sheet and support its long-term growth objectives in the rural telecom sector. Investors are advised to review the full SEC filing for detailed terms and risk factors associated with the offering.
