Neuphoria Therapeutics - in talks with Scancell about possible combination

Scancell Holdings PLC (AIM:SCLP, OTC:SCNLF, FRA:SCP), a biotechnology firm focused on developing immunotherapies for cancer treatment, has confirmed advanced discussions with Neuphoria. The AIM-quoted company is exploring an all-share transaction to acquire Neuphoria, which could facilitate Scancell’s entry onto the Nasdaq exchange. A reverse merger allows a private or smaller company to gain a stock market listing by combining with an already-listed entity, potentially enhancing Scancell’s visibility among US-based investors.

In addition to the merger discussions, Scancell is also in talks regarding potential equity and debt financing to support a global phase III clinical trial for its lead drug candidate, iSCIB1+. The company emphasized that both the proposed acquisition and the financing remain subject to final negotiations and definitive agreements. Scancell noted that there is no certainty that an agreement with Neuphoria will be reached or that the financing will proceed as planned.
