Global Interactive Technologies announces closing of $2.0 million private placement

Global Interactive Technologies, Inc. (NASDAQ: GITS) has completed a $2.0 million private placement, as previously announced. Under the terms of the agreement, the investor acquired 1,092,896 shares of common stock (or pre-funded warrants in lieu thereof) and 1,092,896 accompanying warrants. The combined purchase price for one share of common stock and one warrant was $1.83, while the price for one pre-funded warrant and one warrant was $1.829. The closing occurred on June 26, 2026, subject to customary conditions.

The warrants are exercisable on the six-month anniversary of issuance, carry an exercise price of $1.83 per share, and have a term of 5.5 years. D. Boral Capital LLC served as the exclusive placement agent for the offering.

The securities were issued under an exemption from registration under the Securities Act of 1933, as amended, and are subject to resale restrictions. The company has entered into a registration rights agreement with the investor, obligating it to file a registration statement with the SEC for the resale of the shares.
