Eva Live to sell $2.16 mln secured convertible note - SEC filing
Eva Live Inc. (NASDAQ: GOAI) has filed with the U.S. Securities and Exchange Commission (SEC) a Form 8-K disclosing sale of $7.56 million note to Streeterville Capital, LLC, an accredited investor. The transaction, dated February 23, 2026, includes an initial note (the "Initial Note") with eight percent original issue discount, bearing interest at 8% per annum and maturing 24 months after the closing. The note is convertible into common stock at a conversion price tied to the company’s stock price, with minimum floor price of $0.90 per share.
The company also granted the investor right to purchase additional notes over the next 24 months. Proceeds from the Initial Note will be used for working capital and business development. The note is secured by broad range of assets, including equity in subsidiaries, customer accounts, and insurance-related rights, as outlined in a separate security agreement.
In connection with the offering, Eva Live engaged Maxim Group LLC as a placement agent, paying a 5.75% fee on the gross proceeds. The company is also required to file a registration statement with the SEC within 90 days to facilitate the resale of shares issued upon conversion of the note.
