Bionano retires fully all senior secured convertible debentures

On May 28, 2026, Bionano Genomics, Inc. (Nasdaq: BNGO) announced the completion of a private placement of senior secured convertible debentures, which allowed the company to fully retire its previously issued convertible debt financing. The new financing, which raised $18.0 million in gross proceeds, enabled Bionano to settle convertible debt initially arranged in October 2023 and subsequently amended in February 2024. This action marks a significant step in the company’s efforts to strengthen its capital structure and improve liquidity.

The prior debt arrangement involved $45.0 million in registered notes and $35.0 million in private placement notes, with a total principal amount of $80.0 million. Through a series of amendments and repayments, Bionano reduced the outstanding principal of the Initial Registered Note to approximately $24.3 million by February 2024. The latest private placement allowed the company to fully retire the remaining debt, including the Initial Private Placement Note, which had an outstanding balance of $17.0 million.

The new debentures are due May 24, 2026, aligning with the current date. The transaction was facilitated by Canaccord Genuity, which acted as exclusive financial advisor and placement agent. The offering was conducted as a private placement and did not involve a public offering or registration under the Securities Act of 1933, as amended.

This move is expected to provide Bionano with greater financial flexibility, reduce near-term debt obligations, and support its ongoing operations and strategic initiatives. The company has emphasized managing costs and extending its cash runway while advancing its mission in optical genome mapping and diagnostic services.
