Biohaven - Eligible for $150 mln in development and regulatory milestones plus global royalties
Biohaven Ltd. (NYSE: BHVN) is currently positioned to receive up to $150 million in development and regulatory milestone payments, contingent on the achievement of specific clinical and regulatory goals, as outlined in its agreement with Oberland Capital Management LLC. This funding is part of a broader $600 million non-dilutive capital arrangement, with the first tranche of $250 million funded in April 2025 and additional tranches tied to regulatory milestones and strategic acquisitions.
The milestone payments are linked to the approval of troriluzole, Biohaven’s investigational drug for the treatment of spinocerebellar ataxia (SCA), a group of rare and progressive neurological disorders. Under the terms of the agreement, Oberland Capital is entitled to a regulatory approval milestone payment, payable quarterly through December 31, 2030, and tiered single-digit royalty payments on global net sales of troriluzole for up to 10 years from the closing date.
In addition to the potential $150 million milestone payment, Biohaven is also eligible for global royalties on troriluzole sales, which could provide a long-term revenue stream if the drug achieves commercial success. These royalties are structured to be capped at a multiple of the amounts funded by Oberland Capital, ensuring a balanced financial arrangement.
Biohaven’s financial position as of March 31, 2026, reflects a cash balance of approximately $351.8 million, which includes cash, cash equivalents, marketable securities, and restricted cash. This capital base, combined with the potential milestone and royalty payments, provides the company with financial flexibility to advance its clinical programs and support commercialization efforts.
The company’s strategic focus remains on advancing its pipeline across multiple therapeutic areas, including immunology, neuroscience, and oncology. Key programs include the development of selective Kv7 ion channel activators, extracellular protein degraders (TRAP and MoDE platforms), and antibody-drug conjugates.
While the path to regulatory approval for troriluzole remains uncertain, the milestone-based funding structure offers Biohaven a mechanism to continue its development efforts without immediate dilution to existing shareholders. The company’s ability to secure such a flexible financing arrangement underscores the potential of its pipeline and confidence of strategic partners in its long-term prospects.
