Quanta Services announces pricing of senior notes offering
Quanta Services, Inc. (NYSE: PWR) has announced the pricing of a $1.5 billion senior notes offering, comprising three tranches with varying maturities and coupon rates. The offering includes $500 million of 4.300% senior notes due 2028, priced at 99.963% of face value; $500 million of 4.500% senior notes due 2031, priced at 99.731% of face value; and $500 million of 5.100% senior notes due 2035, priced at 99.705% of face value. The offering is expected to close on August 7, 2025, subject to customary closing conditions.
Quanta intends to use the net proceeds from the offering to repay existing indebtedness, including borrowings under its commercial paper program and senior credit facility. The offering was managed by a group of joint book-running managers, including BofA Securities, Wells Fargo, J.P. Morgan, and others.
The offering is being made under a shelf registration statement previously filed with the U.S. Securities and Exchange Commission (SEC) on August 2, 2024. Investors may obtain copies of the prospectus supplement and base prospectus from the underwriters or via the SEC’s EDGAR database.
This offering follows a similar $1.0 billion senior notes offering in September 2020, which carried a 2.900% coupon and was due in 2030. That offering received investment-grade credit ratings from S&P Global Ratings and Moody’s Investors Service.
