Motorola Solutions closes purchase of D-Fend Solutions

Motorola Solutions (NYSE: MSI) has entered into a definitive agreement to acquire D-Fend Solutions, an Israeli-based counter-drone technology company, for $1.5 billion acquisition agreement. The transaction, expected to close in the fourth quarter of 2026, is subject to regulatory approvals. D-Fend, founded in 2016, specializes in non-kinetic RF-based counter-UAS solutions that allow for the remote detection, identification, and controlled landing of unauthorized drones. Its flagship product, EnforceAir, is deployed in over 30 countries and has driven annual revenue growth of more than 50% in recent years, with full-year 2026 revenue projected at $185 million.

The acquisition aligns with Motorola Solutions’ strategy to expand its portfolio in public safety and security technologies. D-Fend’s technology complements Motorola’s existing capabilities in communications and critical infrastructure protection. The deal also reflects the growing global demand for counter-drone solutions, driven by increasing drone-related threats in both military and civilian contexts.

D-Fend’s founders and early investors stand to benefit significantly from the transaction. The three founders, who collectively own about 25% of the company, are expected to receive approximately $125 million each before taxes. Vertex Ventures and Vertex Growth, the largest shareholders, are projected to realize a $255 million return on their initial $6 million investment.

The deal marks largest exits in Israel's defense-tech sector in 2026 and underscores the country’s growing influence in the global counter-drone market.
