Universal Health Services to Acquire Talkspace for $5.25 per Share in $835M Deal

Universal Health Services (UHS) has agreed to acquire virtual behavioral healthcare provider Talkspace (TALK) for $5.25 per share, implying an enterprise value of $835M. The deal is expected to be slightly accretive to UHS' adjusted net income per diluted share during the first twelve months after closing and increasingly accretive thereafter. The transaction is expected to close in the third quarter of 2026, subject to Talkspace shareholder approval and regulatory approvals.
