SES - share buyback expected to complete before next annual general meeting
SES has announced that its ongoing share buyback program is expected to be completed prior to the company’s next Annual General Meeting (AGM), which is first Thursday in April 2027. The buyback, part of the company’s broader capital management strategy, has been progressing in line with its stated objectives and regulatory guidelines.
The AGM will convene at the company’s registered office in the Grand Duchy of Luxembourg and will include the approval of consolidated financial statements, the election of directors and auditors, and decisions on profit appropriation. Shareholders must be registered eight business days before the meeting to attend and vote. Holders of FDRs will be represented by the fiduciary Banque et Caisse d’Epargne de l’Etat, which will act on their behalf unless specific voting instructions are provided.
The completion of the buyback before the AGM will likely influence the company’s share structure and voting dynamics. The AGM requires a quorum of at least half of the Class-A and Class-B shares to be valid. Resolutions will be adopted by a simple majority, unless otherwise specified in the company’s articles of incorporation.
