Redwood Trust (RWT) shares fell 20.91% in intraday trading after the company announced a $150 million convertible senior notes offering and a legacy loan sale. The dual announcement hit the housing finance company on both dilution and book value.

What Did Redwood TrustRWT-- Announce?

The company filed an 8-K with the SEC on September 10, 2026, disclosing a private offering of $150 million in convertible senior notes due 2030 under Rule 144A to qualified institutional buyers. Initial purchasers would also receive an option to buy up to an additional $22.5 million in notes.

The notes will be senior unsecured obligations. The interest rate and offering price have not yet been determined.

Redwood intends to use a portion of the net proceeds to repurchase a portion of its 2027 Notes concurrently with the pricing of the offering in privately negotiated transactions. The remainder would be available for general corporate purposes.

In the same filing, the company reached preliminary agreements to sell a portfolio of legacy bridge loans with an unpaid principal balance of approximately $190 million.

The estimated impact of those proposed dispositions is a roughly 2% decrease in book value per share from the June 30 level. The loan sale is expected to close in late Q3 or early Q4 2026.

Why Does The Convertible Notes Offering Matter?

The convertible debt structure is the primary headwind. If the stock rises above the conversion price at any point before the 2030 maturity, noteholders can convert their debt into shares — increasing the share count and diluting existing shareholders.

That dilution concern carries extra weight when paired with the concurrent legacy loan sale. Selling the portfolio at a discount to the $190 million unpaid principal balance reduces book value per share by an estimated 2%.

For a specialty finance company like RedwoodRWT--, where book value is a key valuation metric, the simultaneous dilution risk and BVPS reduction created a one-two punch. Investors saw equity value being distributed through the convertible structure while the existing asset base shrank.

Trading volume was approximately 2.5 times the 20-day average, confirming broad participation in the selloff.

What Should Investors Watch Next?

The interest rate and conversion price of the notes remain the most immediate unknowns. Those terms, set at pricing, will determine how dilutive the offering actually is and what interest expense Redwood absorbs going forward.

Whether the selloff holds or recovers during the remainder of the session will also signal how the market weighs the loan sale's portfolio cleanup benefits against the offering's dilution risk.

The legacy loan sale closing in late Q3 or early Q4 will be the next catalyst, along with any follow-up SEC filings that detail the final transaction terms.
