Kingsway Financial Services Inc. (NYSE: KFS) subsidiary Ravix Group has acquired The HR Team, a Maryland-based human resources services firm, to bolster its HR service capabilities. The acquisition, completed on August 1, 2025, enhances Ravix's offerings in HR compliance, organizational development, and outsourced HR support services. The transaction was funded with cash on hand and a seller note, aligning with Kingsway's strategy to foster growth and long-term value creation.

The acquisition represents Kingsway's 11th under its Search Xcelerator model, with Ravix CEO Timi Okah leading the strategic bolt-on deal. The HR Team, founded in 1996, serves small and mid-sized organizations across diverse sectors, providing personalized, strategic HR support. The addition of The HR Team to Ravix expands the latter's capabilities and client base, creating meaningful cross-selling opportunities and setting a strong foundation for future expansion in outsourced HR services.

The deal is expected to have minimal financial impact on Kingsway, given the $0.2 million unaudited pro-forma annual adjusted EBITDA. The HR Team's founder, Eileen Levitt, will transition to an Executive Advisor role, further supporting the integration process. Kingsway's decentralized management model and talented team of operators continue to drive its growth strategy, focusing on asset-light, recurring revenue businesses.
