Post Holdings Completes Senior Notes Offering to Fund Debt Redemption
Post Holdings, Inc. (NYSE: POST) has finalized a $1.3 billion senior notes offering, which will be used to redeem its remaining $1.235 billion in 5.50% senior notes due December 2029. The new 6.50% senior notes, issued on December 1, 2025, are unsecured and guaranteed by the company's domestic subsidiaries (excluding immaterial or unrestricted entities). The offering, priced at par, is expected to close on December 15, 2025, subject to customary conditions.
The redemption of the 2029 notes, scheduled for December 17, 2025, will occur at 101.833% of the principal amount plus accrued interest. This action fulfills the company's prior disclosure that proceeds from the 2036 notes would fund the redemption. Post Holdings emphasized that any remaining proceeds from the offering may be allocated to general corporate purposes, including acquisitions, debt repayment, or capital expenditures.
The 2036 notes were issued in a private placement exempt from registration under Rule 144A and Regulation S, targeting qualified institutional buyers and non-U.S. investors. Latham & Watkins LLP advised the initial purchasers on the transaction, with tax and regulatory expertise supporting the deal's execution.
Post Holdings, a St. Louis-based consumer packaged goods holding company, operates across center-of-the-store, refrigerated, foodservice, and food ingredient sectors. The debt restructuring reflects the company's strategy to optimize its capital structure amid evolving market conditions.
