Optiva has agreed to be acquired by Qvantel, creating a larger AI-enabled BSS player. The transaction will combine Optiva's software solutions with Qvantel's BSS offerings. The deal is expected to enhance the companies' capabilities in the telecom market and provide customers with a broader range of products and services.
Optiva, a leader in cloud-native charging and agentic AI business support system (BSS) capabilities, has agreed to be acquired by Qvantel, a global leader in digital BSS. This strategic transaction aims to create a top-tier global team capable of delivering scalable full-stack solutions to empower growth and innovation for communication service providers (CSPs).The combination of Optiva and Qvantel brings significant scale and financial strength, enabling CSPs to accelerate growth, diversify services, and unlock new monetization opportunities in the AI era. Optiva's AI-enabled products, combined with Qvantel's extensive BSS offerings, will provide a comprehensive suite of best-of-breed solutions. The joint portfolio will offer real-time revenue management and charging capabilities, catering to the diverse needs of CSPs.
The transaction will see Qvantel acquire all of Optiva's issued and outstanding common shares and the US$108.6 million principal amount of 9.75% senior secured PIK toggle notes. The acquisition will be implemented via a statutory plan of arrangement under Section 192 of the Canada Business Corporations Act. The deal is subject to customary conditions, including court approval, approval of Optiva shareholders, and Qvantel shareholders.
The transaction is expected to be completed in December 2025, following which Optiva will cease to be a reporting issuer under applicable Canadian securities laws. Upon completion, the combined entity will offer a full suite of AI-enabled products, providing CSPs with an agile and trusted alternative to legacy vendors.
Qvantel's CEO and Chairman, Matti Roto, expressed enthusiasm about the merger, stating, "This combination will drive innovation, business success, and inspiration for customers, partners, and employees." Optiva's CEO, Robert Stabile, also highlighted the potential for enhanced capabilities in the telecom market, stating, "We are excited about the new chapter, which provides a strong foundation to drive innovation, advance sustainable development, and empower our customers’ long-term success."
