Open Lending entered into a cooperation pact with Palogic Value
Palogic Value Management, L.P., along with affiliated entities, has acquired a 5.8% stake in Open Lending Corp (LPRO), totaling 6,949,166 shares of common stock, through open-market purchases between February and April 2025. The group, which includes Palogic Value Fund, L.P. and Ryan L. Vardeman, filed a Schedule 13D with the SEC on April 14, 2025, disclosing their investment and outlining governance and strategic concerns.
In a letter dated April 4, 2025, Palogic urged Open Lending's board to pursue strategic alternatives, including a potential sale of the company, citing governance issues such as executive turnover—three CEOs in 14 months—and questions about board independence. The activist investor also highlighted concerns over market valuation volatility, cyclicality in revenue, and the company's reliance on credit union partnerships amid declining OEM certifications. Palogic further recommended repaying the company's term loan, which it described as a "negative carry," and preserving cash while refining operational strategies.
Open Lending's enterprise value of approximately $25 million, as noted in the filing, has drawn scrutiny over the alignment of board members with private equity interests and the viability of continued public company status. The company has not publicly responded to Palogic's proposals as of March 2026.
Palogic's transactions include a significant purchase of 1.75 million shares on April 1, 2025, at $1.53 per share, reflecting its ongoing investment strategy. The group retains the right to adjust its position based on market conditions and strategic developments.
