Moody’s Revises Outlook to Negative for Oakland Unified School District Amid Fiscal Challenges

Moody’s Ratings has revised its outlook for Oakland Unified School District to negative from stable, citing concerns over the district’s financial flexibility as it prepares to issue $261.4 million in general obligation (GO) bonds in November 2025. The district, which operates 81 TK-12 schools and serves 33,655 students in fiscal 2026, faces a projected $43.4 million deficit for fiscal 2025 and an unrestricted fund balance of $58.4 million—approximately 7% of spending.

Moody’s rating to three bond series, including $176.8 million in Series 2025A GOs, $8.1 million in Series 2025B taxable GOs, and a $76.5 million GO refunding. Post-issuance, OUSD’s long-term debt will reach $1.2 billion. The A1 rating reflects enhanced security features for GO bonds, such as statutory “lockbox” protections for property tax collections, which separate these funds from general operations.

Despite favorable economic indicators—including a per capita property assessed value of $200,685 and above-average resident income—Moody’s noted ongoing enrollment declines and a “weakened, yet adequate” financial position as key risks. The negative outlook underscores the need for management to align revenues with expenditures to avoid further strain on liquidity.

Fitch Ratings similarly downgraded OUSD’s issuer default rating to BBB from BBB+ and its GO bond rating to AA- from AA in September 2025, citing structural challenges such as failed school consolidation efforts, a 2023 teachers’ strike, and unresolved liabilities from lead contamination. Fitch emphasized that reliance on one-time solutions to maintain reserve levels above California’s 2% minimum may prove unsustainable without operational restructuring.

Both rating agencies caution that failure to address structural imbalances could lead to further downgrades, highlighting the district’s urgent need for long-term fiscal adjustments.
