INVO Fertility Announces $4 Million Private Placement

INVO Fertility has priced a $4.0 million private placement at-the-market under Nasdaq rules, selling 2,366,864 shares of common stock and warrants to purchase up to 4,733,728 shares. The offering is expected to close on December 3, 2025, subject to customary conditions. Maxim Group LLC is acting as the sole placement agent. The securities are being sold in a private placement under Section 4(a)(2) of the Securities Act, and the Company has agreed to file a registration statement for resale.
