Icon - proceeds to repay term loans and redeem 5.809% senior secured notes due 2027
ICON plc (NASDAQ: ICLR) announced on August 4, 2026, that its wholly-owned subsidiary, ICON Investments Six Designated Activity Company, intends to conduct a private offering of one or more series of senior notes with registration rights, subject to market and other conditions. The company stated that the net proceeds from the offering are intended to be used to repay all outstanding borrowings under ICON Global Treasury Unlimited Company’s bridge facility credit agreement, repay all outstanding term loans under ICON’s senior secured term loan facility, and redeem outstanding 5.809% Senior Secured Notes due 2027.
The Notes will be guaranteed on a senior unsecured basis by ICON. Upon repayment of the bridge facility and the term loans, the collateral securing ICON’s revolving credit facility and the subsidiary guarantees under the existing notes will be automatically released. However, the company emphasized that there can be no assurance that the proposed offering will close or that the repayment and redemption will occur.
The offering is being conducted under exemptions from registration under the U.S. Securities Act of 1933, including Rule 144A and Regulation S for qualified institutional buyers and sales outside the United States. The Notes have not been registered under the Securities Act or the securities laws of any state or other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption.
ICON, a global clinical research organization, operates in 55 countries and employs approximately 40,200 people. The company noted that the offering is part of its broader strategy to manage its capital structure and reduce secured indebtedness.
