Hino Motors and Mitsubishi Fuso Merger Advances with Regulatory Approval and TSE Listing Plans

The long-anticipated merger between Hino Motors and Mitsubishi Fuso has received critical regulatory clearance, with Japan’s Fair Trade Commission confirming on February 26, 2026 that it will not oppose the integration, provided remedial measures are implemented. This development paves the way for the formation of ARCHION Corporation, a new holding company set to launch on April 1, 2026, under which both Hino Motors and Mitsubishi Fuso will operate as wholly owned subsidiaries.

The merger, initially agreed upon on June 10, 2025, involves Toyota and Daimler Truck AG, the parent companies of Hino and Mitsubishi Fuso respectively, each securing a 25% stake in ARCHION. The remaining 50% of the holding company will be held by the merged entities. ARCHION plans to pursue a listing on the Tokyo Stock Exchange Prime Market, though specific timing for the IPO has not yet been disclosed.

Leadership for the new entity includes Karl Deppen, current CEO of Mitsubishi Fuso, who will serve as ARCHION’s CEO, and Satoshi Ogiso, former CEO of Hino Motors, transitioning to Chief Technology Officer. Hetal Laligi has been appointed Chief Financial Officer.

Strategic priorities for ARCHION include consolidating five Japanese truck production sites into three by 2028 and accelerating zero-emission vehicle development across all product lines. The integration aims to streamline operations while enhancing competitiveness in global markets, particularly as the commercial vehicle industry shifts toward decarbonization.

Investors will closely monitor the TSE listing process and the merged entity’s ability to execute cost synergies amid Japan’s evolving regulatory and environmental landscape. With key stakeholders aligned and regulatory hurdles cleared, ARCHION’s launch marks a significant restructuring in the commercial vehicle sector.
