GDC Closes $2.8mln Private Placement with Univest Securities

GD Culture Group Limited has successfully closed a private placement with certain investors for the purchase of 1,333,334 shares of common stock at a purchase price of $2.10 per share. The transaction raised approximately $2.8 million and closed on October 27, 2025. Univest Securities acted as the sole placement agent. The shares were offered and sold to investors under the exemption from the registration requirements of the Securities Act.
