GD Culture Group Limited (GDC) has closed a private placement of 1,333,334 shares of common stock at $2.10 per share, raising approximately $2.8 million. Univest Securities acted as the sole placement agent. The shares were offered and sold under Section 4(a)(2) of the Securities Act and Rule 506(b) of Regulation D, and the Company has agreed to register the resale of the shares within 60 days.
