Agfa-Gevaert Announces Annual General Meeting on May 12, 2026
Agfa-Gevaert has called its annual general meeting to be held on May 12, 2026. The agenda includes approval of the 2025 annual report, remuneration report, and remuneration policy. The meeting will also address the appointment of a new independent director, Géraldine Nolens, and the discharge of the board and supervisory board members.
Agfa-Gevaert Group has scheduled its Annual General Meeting (AGM) for May 12, 2026, at 11:00 a.m. CET, as outlined in its financial calendar. The meeting will take place following the publication of the 2025 Annual Report on April 10, 2026 according to the company's calendar. Shareholders will be asked to approve the annual report, the remuneration report, and the remuneration policy for the board and executive management. Additionally, the meeting will consider the appointment of Géraldine Nolens as a new independent director.
The AGM will also address the discharge of the board and supervisory board members for the fiscal year 2025. This follows the Group's annual reporting and governance procedures, which are consistent with prior years.
The 2025 financial results, released on March 11, 2026, showed mixed performance across segments. While the HealthCare IT and Digital Print & Chemicals divisions improved adjusted EBITDA, the Radiology Solutions segment experienced a significant decline due to ongoing market challenges as reported in the earnings announcement. The Group's adjusted EBITDA for the full year decreased to 59 million euro from 70 million euro in 2024 according to financial results. Despite this, the Group reported a positive free cash flow of 35 million euro, driven by working capital improvements and the AgfaPhoto arbitration ruling as detailed in the financial update.
The AGM will provide shareholders with an opportunity to review the Group's strategic direction and governance structure, particularly as it transitions to a new organizational model effective January 1, 2026. The meeting will be an important forum for shareholders to engage with the board and assess the company's progress in executing its transformation and restructuring plans.
