Power Integrations reports inducement grants under Nasdaq listing rule 5635(c)(4)
Power Integrations (Nasdaq: POWI) has disclosed inducement grants issued under Nasdaq Listing Rule 5635(c)(4) to new employees, including Andrew Hughes, who joined the company as General Counsel and Corporate Secretary in May 2026. On June 15, 2026, the company granted 29,408 restricted stock units (RSUs), 2,246 performance stock units (PSUs), and 12,603 long-term performance stock units (PRSUs) at target to Hughes. Additional grants totaling 3,842 RSUs and 455 PSUs were awarded to nine other new hires who began employment in May and June 2026.
The RSUs will vest in four equal annual installments, contingent on continued employment. The PSUs and PRSUs are subject to performance-based vesting tied to company metrics for 2026 and 2028, respectively, with potential for up to 200% of the target award. The grants were approved by the Talent and Compensation Committee and issued under the company’s Amended and Restated 2025 Inducement Award Plan, in compliance with Nasdaq Rule 5635(c)(4).
