U.S. Global Investors, Inc. (NASDAQ: GROW) announced that it will restate its earnings per share (EPS) figures for the three-month and nine-month periods ended March 31, 2026, due to a clerical error in calculating the weighted average shares outstanding. The error resulted in understated shares and, consequently, overstated basic and diluted EPS figures. The company emphasized that net income and all other financial data remain unchanged.

For the three months ended March 31, 2026, the corrected basic and diluted EPS is $0.21, with restated weighted average shares outstanding of 12,561,208 (basic) and 12,585,586 (diluted). For the nine months ended March 31, 2026, the corrected figures will also be included in the amended Form 10-Q/A that the company plans to file with the SEC.

CEO Frank Holmes stated that the miscalculation was a clerical omission and not a change in the company’s underlying performance. The company has already begun implementing procedural enhancements to prevent similar errors in the future. Holmes also noted that the fundamentals of the business remain strong, with a net income of $2.7 million for the quarter and average assets under management reaching $1.6 billion, the highest level in nearly two years.

The company continues its commitment to returning capital to shareholders through dividends and a share repurchase program. Over the past five years, U.S. Global Investors has repurchased approximately 2.7 million shares of its common stock.

Investors are advised that previous communications should no longer be relied upon. The amended Form 10-Q/A will provide updated figures and remain the authoritative source for the restated data.
