BioMx provides update on defense technology portfolio and growth strategy
BiomX Inc. (NYSE: PHGE) has announced the acceleration of its exclusive option to acquire a controlling interest in DFSL, an Israeli defense engineering company specializing in LADAR-based detection systems for perimeter security, critical infrastructure, and counter-UAS applications. This move represents a strategic expansion into the defense sector, complementing BiomX’s recent acquisition of Zorronet, an AI command-and-control platform. The integration of DFSL’s high-precision LADAR technology with Zorronet’s AI capabilities aims to create a comprehensive detection-to-response security solution.
DFSL’s systems, which have demonstrated approximately 99% accuracy in real-world applications, are designed to reduce false positives and enhance operator effectiveness by combining laser-based sensing with proprietary AI algorithms. The company’s technology is protected by a portfolio of patents and has been deployed globally in critical infrastructure and transportation systems.
The transaction is structured to include cash, an unsecured convertible note, warrants exercisable at $12 per share, and a revenue-based bonus payment. It remains subject to regulatory approval in Israel and shareholder approval on the NYSE American.
