Why Is ATER Stock Rising Today? Aterian Shares Jump After Asset Sale Filing
Aterian (ATER) shares rose 23.49% in intraday trading as investors reacted to a pending shareholder vote on an asset sale expected to return $0.85 to $1.14 per share. The payout range sits well above the stock's recent trading price, offering a clear upside catalyst.
The company has agreed to sell substantially all assets of its marquee e-commerce brand portfolio, which includes Mueller Living, PurSteam, hOmeLabs, Squatty Potty and Healing Solutions, for $18 million in cash. An SEC 8-K filing disclosed the updated transaction terms, reigniting investor interest in the consumer products company's strategic reorganization.
After certain adjustments, the proxy statement estimates net proceeds of approximately $10.6 million to $14.2 million. Based on the share count, the company projected a per-share distribution of $0.85 to $1.14 to common stockholders. The transaction requires shareholder approval through a special meeting.
Aterian also received a $7 million investment in preferred stock as part of the broader reorganization plan. The company's board unanimously approved the combined package, designed to unlock value for stockholders while allowing the brand portfolio to continue operating under new ownership.
The payout range presents a mathematically attractive proposition at current levels. With ATERATER-- trading around $0.87 today, the upper end of the expected distribution implies meaningful upside for common shareholders. That said, the deal has not yet closed, and execution risk remains.
Aterian has faced a steep multi-year decline. Revenue fell from $221 million in 2022 to $69 million in 2025, and the company reported just $7,000 in revenue for the most recent quarter. The cash position has deteriorated from $18 million at the end of 2024 to approximately $7.6 million today. The asset sale would address the liquidity squeeze and return capital to shareholders in one stroke.

The stock also faces a separate listing challenge. On September 2, AterianATER-- received a Nasdaq notice that its shares failed to meet the $1.00 minimum bid price requirement for 30 consecutive business days. The company has 180 calendar days, until March 1, 2027, to regain compliance with Listing Rule 5550(a)(2), with the possibility of a second 180-day extension.
Trading volume was below the 20-day average, which is unusual for a move of this magnitude and suggests the rally may be driven by a smaller group of participants rather than broad-based interest. That said, the payout thesis is clear enough to warrant attention.
Investors should watch whether the shareholder vote is approved and the asset sale closes on terms consistent with the proxy statement. The Nasdaq compliance deadline of March 2027 also looms — if the per-share distribution from the asset sale does not arrive in time, the stock could face delisting pressure.
